These Terms of Service ("Terms") govern your access to and use of the LedgerFlow platform, including the trial environment, website, and any associated documentation ("Services"), provided by LedgerFlow AI (Pty) Ltd, a company incorporated in South Africa ("LedgerFlow", "we", "us"). By accessing or using the Services, you agree to be bound by these Terms.
By using the Services, you represent that you are at least 18 years of age and have the authority to enter into these Terms on behalf of yourself or the organisation you represent. Access to certain features requires registration and approval by LedgerFlow.
LedgerFlow offers a 30-day free trial of the platform. Trial access is provided for evaluation purposes only and is subject to the following conditions:
Subject to these Terms, LedgerFlow grants you a limited, non-exclusive, non-transferable licence to access and use the Services for your internal business purposes. You may not:
LedgerFlow and its licensors retain all right, title, and interest in and to the Services, including all proprietary algorithms, database schemas, microservice code, and associated intellectual property. Nothing in these Terms transfers any ownership interest to you. Proprietary elements include but are not limited to the cyclic fraud detection algorithm, dynamic transaction rules engine, dual-currency settlement engine, and reconciliation framework.
You retain ownership of all data you submit to or process using the Services ("Customer Data"). By using the Services, you grant LedgerFlow a limited licence to host and process Customer Data solely as necessary to provide the Services to you. LedgerFlow will not access, use, or disclose Customer Data except as required to provide the Services, as directed by you, or as required by law.
In self-hosted deployments, Customer Data resides entirely within your own infrastructure and LedgerFlow has no access to it.
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with these Terms, and to use such information only for the purposes of these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, LEDGERFLOW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
LedgerFlow does not warrant that the Services will be uninterrupted or error-free. The platform is financial infrastructure software — you remain solely responsible for ensuring its deployment meets your specific regulatory and operational requirements.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEDGERFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES. LEDGERFLOW'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO LEDGERFLOW IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless LedgerFlow and its officers, directors, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your breach of these Terms, or your violation of any applicable law or third-party rights.
Either party may terminate these Terms at any time by providing written notice. LedgerFlow may suspend or terminate access immediately if you breach these Terms or if continued access presents a legal or security risk. Upon termination, your licence to use the Services ceases and you must cease all use. Provisions that by their nature should survive termination (including intellectual property, liability limitations, and confidentiality) shall survive.
These Terms are governed by the laws of the Republic of South Africa. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.
LedgerFlow may modify these Terms at any time. Material changes will be communicated to registered users by email at least 30 days before taking effect. Continued use of the Services following notice of changes constitutes acceptance of the revised Terms.
